Terms of Service

Welcome to Zeenly. These Terms govern your use of the Zeenly service available at zeenly.com (the "Service"). By creating an account or using the Service you agree to these Terms.

1. The service

Zeenly converts PDF documents into interactive flipbook readers with clickable hot-spots, embedded video, share links and per-issue analytics, accessible to your end-readers via a public reader URL.

2. Accounts

You must provide accurate information when signing up and keep your sign-in method secure. You're responsible for all activity under your account. You may delete your account at any time by contacting us — see the Support page.

3. Plans and pricing

The Service is offered on the tiers below. Prices are listed and billed in United States dollars (USD) by default. You may instead choose to be billed in Australian dollars (AUD) or euros (EUR) at checkout, at the fixed prices shown for that currency on our pricing page (Pro: AU$39 / €23 per month, AU$390 / €230 per year; Publisher: AU$78 / €46 per month, AU$780 / €460 per year). The amount charged is always the price shown for the currency you select.

• Free — US$0. One issue, one admin user, no team or analytics.
• Pro Monthly — US$27 per month, billed via Stripe. Unlimited issues, one brand/publication, up to 5 team members, full analytics.
• Pro Annual — US$270 per year, billed via Stripe (equivalent to 2 months free vs Monthly). Same features as Monthly. Auto-renews each year until cancelled.
• Publisher Monthly — US$54 per month, billed via Stripe. Everything in Pro, plus unlimited brands/publications under one account and up to 10 team members.
• Publisher Annual — US$540 per year, billed via Stripe (equivalent to 2 months free vs Monthly). Same features as Publisher Monthly. Auto-renews each year until cancelled.

Prices may change for new sign-ups; existing paid plans continue at the price purchased.

Annual member benefits. Pro Annual and Publisher Annual include two one-time onboarding benefits. (a) Content migration — a one-off, courtesy upload and setup of your existing back catalogue when you join; this is an onboarding service only, not ongoing account management. (b) Feature requests — up to three feature requests per account, which Zeenly will build at no additional charge where reasonably feasible and a good fit for the Service, prioritised and scheduled at Zeenly's sole discretion. Requests that are not feasible, fall outside the Service's scope, or would benefit only a single customer may be declined. Both benefits are non-transferable, have no cash value, and do not extend or alter any other term of the plan.

4. Billing, cancellation and refunds

• Payment processing is handled by Stripe. Zeenly does not store or process payment card details.
• Pro Monthly renews automatically each month until cancelled. Cancel any time from the Billing page; cancellation takes effect at the end of the current billing period. The current period is non-refundable.
• Pro Annual renews automatically each year until cancelled. Cancel any time from the Billing page; cancellation takes effect at the end of the current annual period. The current period is non-refundable.
• Publisher Monthly and Annual renew and cancel on the same terms as Pro Monthly and Pro Annual. Upgrading from Pro to Publisher takes effect immediately and the prorated difference for the rest of the current period is charged at the time of upgrade. If a Publisher plan is downgraded or ends, every brand/publication stays published and readable, but only the account's first brand/publication can be edited or receive new issues until the account upgrades again.
• Taxes, if any, are your responsibility unless otherwise stated at checkout.

5. Your content

You retain ownership of every PDF, image and link you upload ("Your Content"). You grant Zeenly a non-exclusive licence to host, serve, and display Your Content as needed to operate the Service, including delivering it to readers via the public reader URLs you generate.

You are solely responsible for Your Content and for every link, hot-spot, URL and embedded item you add to it. You represent that you own or hold all rights necessary to publish and distribute Your Content, and that it — and everything it links to or embeds — complies with these Terms and applicable law. See Sections 7 and 8 regarding third-party destinations and your responsibilities.

6. Acceptable use

You will not use the Service to publish, store or distribute content that is illegal, infringing, defamatory, malware-laden, sexually explicit involving minors, or designed to harass or harm others. We may remove content or suspend accounts for violations of this section.

7. Third-party links, embedded media and external content

Flipbooks published through the Service may contain links, clickable hot-spots and embedded media (including third-party video such as YouTube or Vimeo) that are created and configured by publishers, not by Zeenly. Those links and embeds lead to websites, services and content operated by third parties that Zeenly does not own, control, monitor, screen, verify or endorse.

Zeenly accepts no responsibility or liability for any third-party destination or content, including where a linked or embedded destination is, becomes, or is used for phishing, a scam, fraud, malware or other malicious code, or is offensive, misleading, inaccurate, infringing, unavailable or otherwise harmful. Following any such link, or interacting with any embedded media, is done at your own risk and may be subject to the relevant third party's own terms and privacy practices. The ability to link to a third-party site or service is not an endorsement of it.

Likewise, Zeenly does not create, author or verify the magazines, documents or other materials that publishers upload, and is not responsible for their content. To the maximum extent permitted by law, Zeenly is not liable for any loss, damage or harm arising from Your Content or from you or any reader accessing or relying on third-party links, embeds, destinations or content.

8. Indemnity

Zeenly does not pre-screen, moderate or monitor Your Content and is under no obligation to do so, although we may remove content or suspend accounts under Section 6. To the maximum extent permitted by law, you agree to indemnify and hold harmless Zeenly and the people who operate it against any claims, liabilities, losses, damages and costs (including reasonable legal costs) arising out of or connected with Your Content, the links, hot-spots, embeds or destinations you include, your breach of these Terms, or your use of the Service. Nothing in this Section requires you to indemnify Zeenly for loss caused by Zeenly's own breach of a consumer guarantee that cannot lawfully be excluded under the Australian Consumer Law.

9. Suspension and termination

We may suspend or terminate the Service for an account that breaches these Terms. You may terminate your account at any time. Termination by us for breach does not entitle you to a refund of fees already paid.

10. Disclaimer and liability

The Service is provided "as is" without warranty of any kind. Without limiting this, Zeenly gives no warranty as to, and is not responsible for, Your Content or any third-party links, embeds, destinations or content (see Sections 7 and 8). To the maximum extent permitted by law, Zeenly's total liability arising out of these Terms is limited to the amount you have paid for the Service in the twelve months immediately preceding the claim. Nothing in these Terms excludes consumer guarantees that cannot lawfully be excluded under Australian consumer law.

11. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified by email or via the Service. Continued use after a change means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of Australia. You agree to the non-exclusive jurisdiction of the courts of Australia for any dispute arising from them.
